FC Twente chairman Joop Munsterman claims midfielder Leroy Fer's proposed switch to Everton is in the balance.
The Toffees announced on Monday they had agreed an £8.6m fee with Twente and the 23-year-old travelled to Merseyside to finalise the deal.
But medical staff at Goodison Park apparently raised concerns regarding the player, and Everton have gone back to Twente in an attempt to renegotiate the deal.
Instead of the full fee up front the Premier League side wanted to pay a smaller amount with the remainder dependent on appearances and other factors.
But Munsterman is adamant Twente will not accept the proposed changes.
"Yesterday Everton claimed on their own website they reached an agreement with FC Twente about a transfer of Leroy Fer," said Munsterman.
"Today they started up the negotiations once again. During the day they came with all sort of additional conditions about the payment terms and also the transfer fee.
"We won't deal with that. Then there won't be a transfer."

There's a rumour going about that TomJuve is going to sell Giovinco for £5.50 and a Kebab. If I was reading this I would take me up on the offer and give him to your respective club.

Spanish paper AS is reporting that Fernando Amorebieta has decided to leave Athletic Bilbao on a free transfer at the end of the season. A number of Premier League clubs, including Everton, West Ham and Stoke, have been credited with an interest in the centre-back.

Shanghai Shenhua are ready to challenge Didier Drogba's move to Galatasaray, claiming he remains under contract with them.
On Monday, Galatasaray announced a deal that would see the 34-year-old Drogba join up with them immediately after the African Nations Cup - currently ongoing in South Africa.
But Drogba's Chinese Super League club, who he joined from Chelsea last summer, issued a statement on their website describing themselves as "deeply shocked" by the announcement, and insisting Drogba remains under contract in China.
"We understand that Drogba is eager to participate in the European Champions League," the statement added.
"Shanghai Shenhua Football Club and Drogba on July 1, 2012 officially signed a formal contract for a period of two-and-a-half years. The club has acted in accordance with this contract, and has effectively fulfilled the responsibilities and obligations of the club.
"Currently, Drogba is still a player of Shanghai Shenhua Football Club, the contract between the two parties is still within the period of validity.
"Shanghai Shenhua is prepared to collate all the evidence and information and submit it to FIFA in order to protect its interests."

The player is currently on his way to Stadio Olimpico, where he will sign a three-and-a-half-year contract subject to passing a medical.
Pereirinha, 24, arrives as a free agent, having just terminated his contract at Stadio Jose Alvalade.

After the two clubs agreed on a €10 million transfer fee, the deal is set to be completed by the end of the day.
Zarate, 25, had earlier reached an agreement over the personal terms after spending a couple of days in Kiev.
The player, who was considered one of the talented forwards in world football not so long ago, has found it hard to get regular playing time at Stadio Olimpico over the last two seasons.

According to RTL, the France international has travelled to London to negotiate a move to Loftus Road, with QPR having lodged a bid of €10M with Toulouse.
Capoue’s advisers have indicated that the midfielder wants to leave Toulouse and QPR are keen to pick up the France star.
There are other sides that have been tracking Capoue though and there could yet be more offers for the 24-year-old.

Capoue is targeted by PSG. They been sending reps to see him in the last 6 games... keeping it quiet. But the Rabiot loan to Toulouse is supposedly part of the deal.
