Because both teams are in the top 4 anyways. The only way 5 teams get CL is if Chelsea finish outside the top 4.

5th never gets a spot. Top 4 get spots, CL winner gets a spot and EL winner gets a spot.
However, there can't be more than 5 teams from one league, so if both the CL and the EL winner were teams from out of top 4 (if, say, Arsenal win the EL as 9th and Chelsea win the CL as 5th), the 4th place spot would be cut.

If City win CL and Man Utd win the EL, and both are in top 4, it's 4 teams.

i think if a team outside the top 4 wins the EL then the league gets a 5th spot ,but it doesn't happen often

Hans has the right of it. No matter what happens, 5 reps is the max, so if the CL winners also finish in the top their qualification isn't transferred to another team. The only ways to get 5 teams is if a) CL winners finish outside top four or b) EL winners finish outside top four and the CL winners aren't from PL or finish within PL top four.

So in a scenario where United finish 2nd in PL and also win the EL, their CL spot they won through the EL wouldn't go to another PL team. But if Arsenal win the EL, the PL would have 5 teams regardless of how City/Chelsea finishes and where Chelsea end up in the table.
