step 2: with everyone out of the way, use a complex network of shell corporations that nobody knows to bid for your club and make "them" deposit the money to start, but not close, a deal.

step 3: the buyers "disappear" and the money stays at Milan since its non-refundable.

So Berlusconi gets to keep his club and now has the money in it to make it debt free or make signings.
